Nume App – End User Licence Agreement (EULA)

1. Licence Grant

Subject to your compliance with this Agreement and our Terms and Conditions, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to:

• download and install a copy of the Nume App on a personal device that you own or control; and
• access and use the App solely for your personal, non-commercial use within the United Kingdom.

All rights not expressly granted to you under this Agreement are reserved by Nume.

2. Ownership and Intellectual Property

The Nume App and all related content, software, graphics, designs, databases, data, and documentation (collectively, the “App Materials”) are owned and operated by Sprout Financial Ltd. “Nume” is a registered trademark (UK registration number UK00004204425).

All intellectual property rights in and to the App Materials remain the exclusive property of Sprout Financial Ltd and its licensors. You acquire no ownership rights in the App Materials other than the limited right to use the App as expressly provided in this Agreement.

3. Restrictions on Use

You must not, and must not permit others to:

• copy, reproduce, modify, or create derivative works based on the App or any App Materials;
• distribute, transfer, sell, rent, lease, lend, or sublicense the App or any portion of it;
• reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the App;
• remove or alter any proprietary notices or marks contained in the App;
• use the App in any manner that could damage, disable, overburden, or impair the App or interfere with another user’s access; or
• use the App for any unlawful, fraudulent, or unauthorised purpose.

4. Third-Party Services

The Nume App integrates with and relies on certain third-party services, including but not limited to:

• Interactive Brokers (U.K.) Limited for investment services;
• Plaid Financial Ltd for open banking and payment connectivity; and
• SumSub Ltd for identity verification and onboarding.

Your use of these third-party services is subject to their separate terms and privacy policies. Nume is not responsible for the content, operation, or performance of any third-party service.

5. Updates and Modifications

We may, from time to time, provide updates, enhancements, or new versions of the App (“Updates”). Updates may automatically install or may require you to manually update the App. We reserve the right to modify, suspend, or discontinue any part of the App at any time without liability. Continued use of the App following an Update constitutes acceptance of the modified version.

6. Data and Privacy

Your use of the App is subject to our Privacy Notice, which explains how we collect, use, and protect your personal data. By using the App, you consent to the processing of your data as described in that notice.

7. Termination

This Agreement will remain in effect until terminated by you or by Nume.

• You may terminate this Agreement at any time by deleting the App from your device and ceasing all use.
• We may suspend or terminate this Agreement and your licence immediately if:
  • you breach any provision of this Agreement or our Terms and Conditions;
  • we believe that continued access may pose a regulatory, legal, or reputational risk; or
  • we discontinue or materially alter the App.

Upon termination, you must immediately stop using the App and delete all copies from your devices. Sections 2, 3, 6, 8, 9, and 10 will survive termination.

8. Disclaimers

To the maximum extent permitted by law, the App is provided on an “as is” and “as available” basis. We make no representations or warranties of any kind, express or implied, including without limitation any warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

We do not warrant that:

• the App will be error-free, secure, or uninterrupted;
• any data provided will be accurate or up to date; or
• defects will be corrected.

9. Limitation of Liability

Nothing in this Agreement excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence or for fraud.

Subject to the foregoing:

• Nume will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising from or relating to your use of the App; and
• Nume’s total aggregate liability to you for any claim arising from or relating to this Agreement or the App will not exceed £100.

10. Governing Law and Jurisdiction

This Agreement and any non-contractual obligations arising out of or in connection with it are governed by and construed in accordance with the laws of England and Wales.

You and we agree that the courts of England and Wales will have exclusive jurisdiction over any dispute arising under or in connection with this Agreement.

11. General

• If any provision of this Agreement is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.
• Failure to enforce any right under this Agreement shall not constitute a waiver.
• This Agreement constitutes the entire agreement between you and Nume regarding your use of the App and supersedes all prior or contemporaneous understandings.
